Payment is due according to the terms specified in your service agreement. Late payments may incur interest charges and may result in suspension of Services. We reserve the right to change our fees with 30 days' notice.

4.3 Refunds

Refund policies vary by service type and are outlined in individual service agreements. Generally, fees for completed work are non-refundable.

5. Service Level and Availability

While we strive to maintain high availability, we do not guarantee uninterrupted access to our Services. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. Specific service level agreements (SLAs) may apply to enterprise customers as outlined in their service contracts.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services. This obligation survives termination of these Terms and any service agreements.

7. Warranties and Disclaimers

We warrant that we will provide Services in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables are outlined in service agreements.

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THELIGHTVILLE CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Thelightville Consulting, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms or your use of the Services.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for:

• Breach of these Terms
• Non-payment of fees
• Illegal or unauthorized use
• Request by law enforcement or government agencies

Upon termination, your right to use the Services will immediately cease. Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, and limitations of liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria for services provided from Nigeria, and the laws of Ontario, Canada for services provided from Canada, without regard to conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in accordance with the rules of the relevant arbitration authority in the applicable jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

13. General Provisions

These Terms, together with any service agreements, constitute the entire agreement between you and Thelightville Consulting regarding the Services.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision.

You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may assign these Terms without restriction.
